CLEMSON UNIVERSITY AGRICULTURE ALUMNI

ARTICLE I

NAME

The name of this organization is the Clemson University Agriculture Alumni, non-profit organization.


ARTICLE II

PURPOSE

The purposes of this organization are: to promote the best interests and welfare of Clemson University and the College of Agriculture, Forestry and Life Sciences; to fully acquaint the membership of the organization with the progress and needs of Clemson University; to assist in communicating the University and the College of Agriculture, Forestry and Life Sciences accomplishments and services to the people of South Carolina and the nation; to serve as an advocate for the College of Agriculture, Forestry and Life Sciences within and outside of the University;  to encourage loyalty to the University and the College of Agriculture, Forestry and Life Sciences and closer bonds of fellowship among its Alumni and friends by participating in, and providing, educational and charitable service to students, faculty, staff and members; to encourage youth to pursue careers in the agriculture and related industries; and to serve as a source of recruitment referral.

 

ARTICLE III

MEMBERSHIP

Section 1. Membership shall consist of persons who have been officially enrolled at Clemson University in the College of Agriculture, Forestry and Life Sciences for at least one academic semester or one summer session.

Section 2. The By-Laws of the organization may provide for other classes of membership in the Association.

ARTICLE IV

OFFICERS AND DIRECTORS

Section 1. Board of Directors

The business of the organization shall be conducted by a Board of Directors. The number of Directors, the Area Chapters they represent, the Faculty and Student Appointments by the Academic Dean, their tenure of office and method of their election shall be provided in the By-Laws.

Section 2. Officers

The Officers shall consist of President, President-Elect and Secretary. They shall be elected by the Board of Directors to terms of office as provided for in the By-Laws.

Section 3. Executive Committee

                        There shall be an Executive Committee, the personnel of which shall    

                        be determined by the By-Laws. This Committee shall have duties        

                        and powers as may be delegated to it by the Board of Directors.

ARTICLE V

AMENDMENTS

This constitution may be amended at any annual meeting of the organization by a majority vote of two thirds of the members present and voting or by the Board of Directors at any regular or special meeting by a majority vote of two-thirds of the Board members present and voting, provided that notice of said amendment be circulated at least thirty (30) days prior to said meeting.

 

ARTICLE VI

MEETINGS

There shall be an annual meeting and regular or special meeting of the Board of Directors and Executive Committee. The times and places for said meetings shall be set by the Board of Directors and notice given at least twenty-one (21) days prior to said meetings.

ARTICLE I

MEMBERS

Section 1.            Regular Members


Any person who has been officially enrolled at Clemson University in the College of Agriculture, Forestry and Life Sciences for at least one academic semester or one summer session is eligible to become a Regular member. Every Regular member is eligible to hold an elected office and has full and equal voting rights.

Section 2.            Associate Members

Persons who do not qualify for Regular membership but who are friends of and interested in the welfare of Clemson University College of Agriculture, Forestry and Life Sciences may become Associate Members. Associate Members will not quality for election or appointment to office or directorship.

ARTICLE II

OFFICERS

Section 1.         Election

The Officers of the organization shall be a President, President-Elect, and Secretary. These Officers shall be elected by the Board of Directors from the elected membership of the Board.

Section 2.         Method of Electing Officers  

The President shall appoint a nominating committee of three members of the organization at least 30 days prior to the annual meeting. The Nominating Committee will nominate at least one candidate for each vacancy. Additional nominations may be made from the floor by any member of the Board. The Directors shall then and there proceed to elect Officers for the ensuing year.

ARTICLE III

EXECUTIVE COMMITTEE

Personnel of Committee

There shall be an Executive Committee consisting of the 3 Officers, Executive Director and Past President. This committee shall have such duties and powers as may be delegated to it by the Board of Directors. Meetings of this Committee may be called at any time deemed necessary by the President.

 

ARTICLE IV

BOARD OF DIRECTORS

Section 1.            Composition and Method of Election

The business of the organization shall be conducted by a Board of Directors consisting of the following:

  1. 1.  The 3 Officers of the organization who will also represent their respective District Chapters as Chapter President.
  1. 2.  The remaining District Chapter Presidents who represent their respective District Chapters.
  2. 3.  Two young alumni representatives appointed for two-year terms by the President and Executive Director.  A young alumni is any regular member under the age of 35.

4.   Representatives of the College appointed by the Dean of the College of Agriculture, Forestry and Life Sciences

a)  Executive Director of the Association who shall be ex-officio

b)  One faculty member

5.  Undergraduate Students

  1. a)      The Student President of the Agricultural and Biological Council

 

6.  The immediate Past-President.

Section 2.         Terms of Office

1.             The Officers will be elected to serve a two-year term. Should an officer's term require service on the board beyond the District Chapter Presidency term, the Chapter shall re-elect a different Chapter President.

2.            Chapter Presidents representing District Chapters on the Board shall serve two-year terms.

                                    3.            The following Chapters will elect officers at their     

                                     annual meeting in even numbered years, to begin two year terms the    

                                    following July 1:

District 1             District 5             District 9

District 3             District 7

4.            The following Chapters will elect officers at their annual meeting in odd numbered years, to begin two year terms the following July 1:

District 2             District 6

District 4             District 8

5.             All Chapters will replace half of the district directors each year. It is each district's responsibility to identify directors to serve on the Chapter's Board of Directors.

6.             This schedule provides continuity in Chapter leadership and proper rotation of Chapter presidents on the Board of Directors.

7.            If a District does not conduct a meeting during an election period, the President and Executive Director shall appoint a chapter President which must then be approved by the Board.

Section 3.            Vacancies on the Board

Any Officer vacancies on the Board of Directors shall be filled by the Board for the unexpired term of the vacant office. The Vice-President of the District Chapter, or a representative, will be invited to fill a non-office holding Directors vacancy.

Section 4.            Meeting of the Board

The Board of Directors shall hold quarterly meetings. The meetings shall have the time and place fixed by the Board of Directors. The President, may for good cause, call special meetings of the Board. A quorum of the Board of Directors for conducting business of the organization shall consist of not less than seven (7) members.

 

ARTICLE V

AREA ORGANIZATION

Section 1.            Districts

The state will be divided into six (6) districts and each will have an organized Clemson University Agriculture Alumni Chapter. Three other Districts will be organized, 1) North Carolina, 2) Georgia, and 3) all other states. There will be nine District Chapters recognized and qualified to have their Chapter President serve as a member of the Board of Directors.

Section 2.         Area Identification

The 9 Chapters will include the following Counties and/or States:

ARTICLE VI

Agriculture Alumni Chapters

District Agriculture Alumni Chapters may adopt such rules and regulations for governing their Chapters as they see fit, including District dues, as long as they do not conflict with the provisions of the Constitution and By-Laws of the parent Organization.

 

ARTICLE VII

Attendance at Board Meetings

Every Board member or an alternate shall be expected to attend at least 2 regular Board meetings each year. Any member failing to comply with this provision of the By-Laws, in any year, shall be considered as having resigned. In the event a Director cannot attend a regularly scheduled Board Meeting, the District Chapter Vice-President or a representative shall be eligible to attend the meeting with full voting rights.

 

ARTICLE VIII

FISCAL YEAR

The fiscal year of the organization shall be from July 1 through June 30.

 

ARTICLE IX

AMENDMENTS OF BY-LAWS

These By-Laws may be amended from time to time by the Board of Directors by a two-thirds vote of the Directors present and voting at any regular or special meeting of the Board provided that the proposed Amendment(s) be submitted by mail to all Board members at least thirty (30) days prior to the meeting at which a vote on such is taken.
